Welcome to Clarity Pulse (“Platform”), your trusted digital marketplace connecting vendors and service providers across Retreats, Events, Courses, Workshops, Products, and Practitioners. These Terms & Conditions (“T&C”) govern your access to and use of the Clarity Pulse website, platform, and related services. By accessing or using our Platform, you agree to comply with and be bound by these T&C. If you do not agree with any part of these T&C, please do not use our Platform.

1. Acceptance of Terms

By registering as a vendor or using our Platform to list or purchase services, you acknowledge that you have read, understood, and agree to be bound by these T&C. Continued use of our Platform constitutes your acceptance of any updates or modifications to these T&C.

2. Description of Services

Clarity Pulse is a marketplace that enables vendors to list and manage their offerings across the following six main categories:

  • Retreats
  • Events
  • Courses
  • Workshops
  • Products
  • Practitioners

Our Platform provides a suite of tools, including a vendor dashboard for listing management, performance tracking, secure payment processing, and promotional support.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into contracts.
  • Represent that all information you provide during registration is accurate and up-to-date.

By using the Platform, you represent and warrant that you meet these eligibility requirements.

4. Vendor Registration and Account

  • Registration: Vendors must complete the registration process and create an account by providing accurate information.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Profile Accuracy: Vendors must ensure that all information in their profiles and listings is accurate, complete, and regularly updated.

5. Vendor Obligations and Listings

  • Quality and Accuracy: Vendors must ensure that their listings—including descriptions, images, pricing, and availability—are accurate and reflective of the services offered.
  • Compliance: All listings must comply with applicable laws, regulations, and industry standards. It is your responsibility to secure any necessary licenses or permits.
  • Prohibited Content: Listings that are fraudulent, misleading, or infringe on intellectual property rights are strictly prohibited.

6. Commission, Fees, and Payment Processing

  • Commission Structure: Clarity Pulse charges a commission of 5% per qualifying booking or sale on our Platform. In addition, a standard processing fee applies to payments.
  • No Monthly Fees: There are no recurring monthly fees for maintaining a vendor account.
  • Payment Processing: Payments are processed securely through our designated payment provider. A small payout fee may apply when funds are transferred to your bank account or PayPal.
  • Earnings: Funds are disbursed in accordance with our payout schedule, subject to applicable processing fees and deductions.
  • Standard Commission: When a customer purchases a service or product through Clarity Pulse, a standard commission of 15% (plus any processing fees) is applied to the deposit, ensuring that payment processing is secure and stress-free.

7. Intellectual Property

  • Ownership: All content on the Platform, including logos, designs, text, graphics, and software, is owned by Clarity Pulse or its licensors and is protected by intellectual property laws.
  • License: By using the Platform, vendors and users are granted a limited, non-exclusive, revocable license to access and use the Platform in accordance with these T&C.
  • Vendor Content: Vendors retain ownership of their listings and content. However, by submitting such content, you grant Clarity Pulse a non-exclusive license to display, distribute, and promote it across our Platform and marketing channels.
  • User-Generated Content: Any content (such as reviews or testimonials) you submit may be used by Clarity Pulse in various media without further compensation.

8. Prohibited Conduct

Vendors and users agree not to:

  • Engage in fraudulent, deceptive, or unethical practices.
  • Provide false or misleading information in listings.
  • Use the Platform to promote or facilitate illegal activities.
  • Interfere with or disrupt the functioning of the Platform.
  • Infringe upon the intellectual property or privacy rights of others.

9. Termination and Suspension

  • Termination by User/Vendor: You may terminate your account at any time by following the procedures on the Platform. Outstanding obligations or pending transactions must be honored.
  • Termination by Clarity Pulse: We reserve the right to suspend or terminate any account at our discretion, without prior notice, for violations of these T&C or conduct deemed harmful to the Platform.
  • Effect of Termination: Upon termination, you will lose access to your account, and any pending payments or obligations will be processed in accordance with our policies.

10. Disclaimers and Limitation of Liability

  • Disclaimer: The Platform is provided on an “as is” and “as available” basis without any warranties, either express or implied. Clarity Pulse does not guarantee uninterrupted or error-free service.
  • Limitation of Liability: Clarity Pulse, its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of the Platform.
  • Indemnification: You agree to indemnify and hold harmless Clarity Pulse and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Platform or violation of these T&C.

11. Governing Law and Dispute Resolution
